Terms of Service

1. Eligibility and Licensing

By using the Platform, you represent and warrant, on an ongoing basis, that:

• You are a licensed life insurance agent or broker, validly authorized to sell insurance products in Canada
• Your license is valid, current, and in good standing with the applicable provincial regulator(s)
• You are legally permitted to sell, solicit, and market insurance products in each province in which leads you purchase are located
• You are solely responsible for confirming your own licensing status before purchasing or contacting any lead in a given province
• You will provide satisfactory proof of licensing to Verity Growth promptly upon request

Verity Growth reserves the right, in its sole discretion, to verify licensing at any time, and to suspend or terminate accounts (without refund) for any User who is unlicensed, whose license has lapsed, or who cannot promptly substantiate licensing upon request.

2. Lead Purchase, Ownership, and Exclusivity

All leads sold through the Platform are sold on an exclusive, single-agent basis. By purchasing a lead from Verity Growth:

• You are purchasing a limited, non-transferable license to contact that individual lead solely for your own direct insurance sales activity
• Each lead is sold to one (1) purchasing agent only — Verity Growth does not resell or duplicate-sell the same lead to multiple agents
• You acquire no ownership interest in the lead data. Verity Growth retains all right, title, and interest in and to all lead data, including after purchase
• Your right to use a lead terminates immediately upon a Do Not Contact request, a CASL withdrawal of consent, or termination of your account, whichever occurs first

Because each lead is sold exclusively to you, you are solely responsible for all consequences of your use of that lead, including all communications, follow-up, and compliance obligations described in Section 4.

3. No Guarantee of Performance

Verity Growth makes no warranty or guarantee, express or implied, regarding:

• Contact rate, response rate, or conversion rate of any lead
• Sales, appointments, or revenue resulting from any lead
• The accuracy, completeness, or currency of lead data, including contact information
• Return on investment from any lead purchase
• Whether a lead has previously requested insurance information from another source

All leads are sold "as-is" and "as-available," without warranty of any kind. To the maximum extent permitted by law, Verity Growth disclaims all implied warranties, including merchantability and fitness for a particular purpose.

4. Compliance with Laws — Sole Responsibility of the Agent

You acknowledge and agree that Verity Growth is a lead data provider only, and is not a party to, and bears no responsibility for, any communication you have with a lead. You are solely and exclusively responsible for ensuring that your contact with, and marketing to, every lead you purchase complies fully with:

• Canada's Anti-Spam Legislation (CASL) and all related regulations
• The National Do Not Call List (DNCL) rules and any applicable provincial equivalents
• The Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation
• All provincial insurance licensing, conduct, and disclosure regulations
• All telemarketing, SMS, and email marketing laws applicable to your communications

Without limiting the foregoing, you are solely responsible for:

• Independently obtaining any additional consent required for your specific method or frequency of contact
• Establishing and maintaining your own unsubscribe mechanism and internal do-not-contact list
• Processing removal and unsubscribe requests promptly and in accordance with CASL timelines
• Properly identifying yourself, your agency, and your licensing status in every communication
• Maintaining call, SMS, and email records as required by applicable law and regulators

Verity Growth provides lead contact information only and exercises no control over, and assumes no responsibility for, the manner, timing, content, or frequency of your communications with leads.

5. Do Not Contact and Removal Requests

If a lead requests, in any form, to unsubscribe, be removed, or stop communications, you agree to:

• Immediately mark the lead as Do Not Contact within the Platform
• Cease all contact with that lead immediately and permanently
• Add and maintain the lead on your own internal do-not-contact list
• Comply fully with CASL unsubscribe requirements, including processing timelines

Failure to comply with this Section is a material breach of these Terms and may result in immediate account suspension or termination without refund, in addition to any indemnification obligations under Section 8.

6. Prohibited Uses of Leads

You may not, under any circumstances:

• Share, sell, sublicense, transfer, assign, or otherwise pass any lead, or any lead data, to any other agent, agency, affiliate, or third party — each lead is licensed to you exclusively and personally and may not be redistributed in any form
• Upload, post, or otherwise make any lead data available in any public or shared database, CRM, or list accessible to others
• Use lead data for any purpose other than your own direct insurance sales activity, including unrelated marketing, research, or list-building
• Spam, harass, mislead, or repeatedly contact a lead against their wishes
• Misrepresent yourself, your agency, or your relationship to Verity Growth or any of our consumer-facing brands
• Violate CASL, telemarketing laws, or any other applicable law in your contact with leads
• Use automated, robocall, or other automated messaging systems not compliant with applicable law
• Contact, market to, or attempt to contact any lead located outside Canada
• Contact, or attempt to contact, any lead after a Do Not Contact or removal request has been made
• Permit any other person to access your account or use leads purchased under your account

Any violation of this Section constitutes a material breach of these Terms, may result in immediate termination without refund, and may give rise to indemnification obligations under Section 8.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Verity Growth Inc., its officers, directors, employees, and agents shall not be liable for:

• Lead quality, inaccuracy, or unreachability, including incorrect or outdated contact information
• Any lead failing to convert, respond, or result in a sale, or any resulting loss of revenue or business opportunity
• Any regulatory penalties, fines, investigations, or proceedings arising from CASL, telemarketing, privacy, or insurance regulatory violations committed by you
• Any misuse, mishandling, or unauthorized sharing of leads by you or anyone acting on your behalf
• Any dispute, claim, or communication between you and a lead
• Any indirect, incidental, consequential, special, or punitive damages of any kind

IN NO EVENT SHALL VERITY GROWTH'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE TOTAL AMOUNT PAID BY YOU TO VERITY GROWTH IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Verity Growth Inc., its officers, directors, employees, contractors, and agents, from and against any and all claims, damages, losses, fines, penalties, regulatory actions, and reasonable legal expenses arising out of or related to:

• Your communications, marketing, or sales conduct with any lead
• Any violation by you of CASL, telemarketing, or privacy laws
• Any violation by you of provincial insurance licensing or conduct regulations
• Your use of any lead, including any failure to cease contact following a removal request
• Any unauthorized sharing, resale, or transfer of leads by you in violation of Section 6
• Your marketing practices, advice, or recommendations provided to any lead
• Any complaint, claim, or proceeding brought by a lead arising from your conduct

This indemnification obligation survives termination of your account and these Terms.

9. Lead Quality and Refund Policy

All leads are SMS-verified prior to delivery. If a non-SMS-verified lead is delivered and the phone number is subsequently confirmed invalid, Verity Growth will replace that lead with a new lead at no additional charge.

Except as expressly set out in this Section, all lead purchases are final. Verity Growth does not provide refunds or replacements for leads that are unresponsive, do not convert, already have insurance, do not answer, or whose circumstances change after submission.

The sole additional circumstance in which a lead will be replaced or refunded is where the lead is located in a province or state in which the purchasing agent is not licensed to sell, making it legally impossible for the agent to service the lead. Replacement or refund in this circumstance is at Verity Growth's sole discretion and must be requested in writing within seven (7) days of delivery.

10. Account Suspension or Termination

Verity Growth may suspend or terminate any account, with or without notice and without refund, for:

• CASL violations, harassment complaints, or non-compliant marketing conduct
• Regulatory complaints, chargebacks, or insurance licensing violations
• Non-payment or any misuse of leads or the Platform
• Sharing, transferring, or reselling leads, sharing account access, or any other violation of these Terms

Sections 2, 6, 7, 8, 11, and 12 survive any suspension or termination of your account.

11. Ownership of Platform

All software, CRM systems, dashboards, lead data, and related materials made available through the Platform are and remain the exclusive property of Verity Growth Inc. You may not copy, reverse engineer, decompile, scrape, or replicate the Platform or any portion of it.

12. Governing Law

These Terms are governed by, and construed in accordance with, the laws of the Province of Manitoba and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts of Manitoba for the resolution of any dispute arising under these Terms.

13. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between Verity Growth and the Client regarding lead purchases and Platform use, and supersede all prior agreements, discussions, or representations, whether written or oral, on this subject.
